MOBILISE CONSULTING LIMITED – STANDARD TERMS AND CONDITIONS RELATING TO PRE-PAID CREDIT VOUCHERS

What these terms cover

1. These terms and conditions (“Terms”) apply to the supply to you, the purchaser, of any multi-purpose credit vouchers issued by Mobilise Consulting Limited (“Vouchers”) and the subsequent exchange of some or all of such credit (the “Service”) for services being provided by Mobilise Connectivity Solutions Limited (the “Exchanged Services”) or such other entities who may provide goods or services in exchange for such credit from time to time.

Who we are

2. In these Terms “we”, “us” and “our” refer to Mobilise Consulting Limited, a company registered in England with registered number 07836728 and registered office address at 3rd Floor, 86-90 St Paul Street, London EC2A 4NE.

How we may contact you

4. If we have to contact you we will do so by telephone or by writing to you at the email address or phone number you provided to us in your order. In these Terms, when we use “writing” or “written” this includes emails.

Our agreement with you

5. This agreement begins, and these Terms are effective and deemed accepted by you, when you purchase a Voucher via our website (located here: [https://cphtravelwifi.dk/buypass]), or when you upload the unique PIN found on each Voucher purchased elsewhere onto the voucher details page of our website (found here: [https://cphtravelwifi.dk/gotavoucher]). If you do not wish to be bound by these Terms, do not purchase any Vouchers via our website or upload the unique Voucher PIN to our website.

6. There will be a separate account, and the commencement of a separate contract, for each Voucher purchased. Charges (being the charges for any Services that you use) will be applied to an account until such time as all credit available on that account has been used or expired.

Providing the Service

7. Subject to these Terms, we agree to provide the Service to you using reasonable care and skill.

8. You acknowledge that the Service may not be available, in whole or in part, in certain regions, countries or jurisdictions.

9. We do not guarantee that the Service will always be available or uninterrupted. Sometimes the Service may be affected by things outside our control, for example the weather, interruptions to services from suppliers and faults in other IT networks, and we will try to give you reasonable notice of any such suspension.

10. We reserve the right to make changes to the Service:

i. to reflect changes in relevant laws and regulatory requirements; and

ii. to implement minor technical adjustments and improvements, for example to address a security threat. These changes will not result in any major disruption of your use of the Service.

Using the Service

11. The Service is made available provided:

i. it is not used (or attempted to be used) for anything illegal, immoral or improper;

ii. it is only used with equipment approved for use with the network (and which have not been lost or stolen) and all relevant laws and rules are followed;

iii. you provide information reasonably asked for from time to time and do not give any false information;

iv. all reasonable instructions given to you are followed; and

v. all payments relating to the Voucher have been received by us.

12. You agree that you will not access, use or attempt to use the Service:

i) unless you are at least 18 years old, or have the consent of your parent or legal guardian to use the Service; or

ii) in any way which violates our acceptable use policy, located here: [https://cphtravelwifi.dk/acceptable-use-policy] (the “Acceptable Use Policy”). You agree to be bound by our Acceptable Use Policy.

13. When you register with us, you agree that you will provide us with true, accurate, current and complete personal information.

14. You understand and acknowledge that you are responsible for all use of the Service that occurs under or in connection with an account associated with a Voucher you have purchased, and for any breach of these Terms which occurs as a result of such use whether an unacceptable use occurs or is attempted, whether you knew or show have known about it, whether or not you carried out or attempted the unacceptable use alone, contributed to it or acted with others or allowed any unacceptable use to occur by omission.

The Exchanged Services

15. Some or all of the credit on a Voucher may be exchanged for the Exchanged Services. The Exchanged Services are provided by Mobilise Connectivity Solutions Limited (the “Service Provider”) (or such other entities who may provide goods or services in exchange for such credit from time to time) and are governed by a separate set of terms and conditions which can be found here: [https://cphtravelwifi.dk/terms-of-use] and not by these Terms.

Expiry of Vouchers

16. Each Voucher will expire in accordance with the expiry date as set out on that Voucher, or in the case of Vouchers purchased on our website either 30, 60, 90 or 180 days (as the case may be, depending on the duration you select when making your purchase) from the date the Voucher was purchased.

17. No refund will be made in respect of any unused credit left on any Voucher once it has expired.

How we may use your personal information

18. We will use the personal information you provide to us to supply the Service to you. We will only give your personal information to third parties (such as network service providers, the police or government authorities) where the law either requires or allows us to do so.

19. All personal information provided by you to us is handled by us in accordance with our privacy policy which is found here: [https://cphtravelwifi.dk/privacy].

Protection of your personal information

20. We use strict security measures in order to protect personal information. From time to time, this may include checking your identity when you telephone us, encrypting data on our websites and such other measures as necessary in order to ensure compliance with all applicable legal requirements.

Price and payments

21. The price for electronic Vouchers is displayed on our website on the order page. The price for all other Vouchers is displayed on the face of those Vouchers.

22. We accept payment with Sage Pay (the “Payment Provider”). All payments are processed securely by the Payment Provider.

Intellectual Property Rights

23. All intellectual property rights in the Service (and content therein) throughout the world belong to us, our affiliates, or third parties. All right, title and interest in and to the Service shall remain our property and/or the property of such other affiliates and third parties.

24. You have no intellectual property rights in the Service other than the right to use it in accordance with these Terms.

Liability

25. We are responsible to you for foreseeable loss and damage caused by us. If we fail to comply with these Terms, we are responsible for loss or damage you suffer that is a foreseeable result of our breaking this contract or our failing to use reasonable care and skill, but we are not responsible for any loss or damage that is not foreseeable. Loss or damage is foreseeable if either it is obvious that it will happen or if, at the time the contract was made, both we and you knew it might happen, for example, if you discussed it with us during the sales process.

26. We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors; for fraud or fraudulent misrepresentation; and for breach of your legal rights in relation to the Service.

27. Except in the case of paragraph 26, our maximum liability to you for something we or anyone who works for us does or does not do will be limited to £1,000 for one incident, or £2,000 for a number of incidents within any 12 month period.

28. We are not liable for business losses. If you use the Service for any commercial, business or re-sale purpose we will have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.

29. We are not liable to you in any way in respect of any products or services ordered from companies other than the Service Provider using our Voucher.

30. We do not, in any event, accept responsibility for:

i. any failure to perform the Service as a result of circumstances or events which could reasonably be considered as unforeseen and/or outside our control or as a result of our obligations under any applicable laws, rules or regulations; or

ii. any losses or delays in transmission of messages arising out of or in connection with the use of any internet or telecommunications service provider or caused by any browser or other software which is not under our control.

31. This section will apply even after this agreement has ended.

When we may suspend or withdraw the Service

32. We reserve the right to suspend or withdraw the Service (or any part of it) for any reason, including:

i. to deal with technical problems or make minor technical changes;

ii. for business or operational reasons;

iii. if our systems break down or need maintenance;

iv. if you breach these Terms, or the terms of any other agreement with us;

v. if you damage the network or put it at risk, or abuse or threaten our staff;

vi. if we are required to comply with an order, instruction or request of any government body, any emergency service organisation, or any other person or organisation with the appropriate authority;

vii. if you choose to not make use of a Voucher purchased other than via our website for a minimum of 365 days; and

viii. to update the Service to reflect changes in relevant laws and regulatory requirements,

and we will try to give you reasonable notice of any such suspension or withdrawal.

33. We reserve the right to charge you for reasonable costs incurred by us for reconnecting you to the Service.

Cancelling the agreement

34. We can cancel this agreement immediately if any of the following happens:

i. you break an important condition of this agreement or a number of less important conditions;

ii. you break a less important condition of this agreement and do not put it right within 7 days of us asking you to do so;

iii. the service provider(s) no longer make the service(s) available;

iv. your service has been suspended or disconnected under paragraph 32(iv), (v), (vi), or (vii);

v. any of the provisions for use of the services set out in paragraphs 11 and/or 12 and/or 13 are not complied with;

vi. you            breach or attempt to breach the security of our website or the Service, including but not limited to: modifying or attempting to modify any information; unauthorised log-ins; unauthorised data access or deletion; interference with the Service, systems, host or network; reverse engineering of any kind of our website or the Service; hacking; falsifying data; introducing viruses of any kind (including for example trojan horses, worms, time bombs, cancelbots, chain letters or other similar harmful or deleterious programming routines) or harmful data; or

vii. you are, in our reasonable opinion, using or attempting to use the Service for or in connection with any fraudulent, illegal or unethical activity, or are permitting a third party to do so.

35. To end the contract with us, please let us know by calling customer services on +442039100330 or email us at info@mobiliseconsulting.com. Please provide your name, details of the order and, where available, your phone number and email address.

36. If this agreement is cancelled your Voucher will be disconnected and you will no longer be able to use the Service.

37. If you decide to cancel this agreement because charges are increased, services are withdrawn or there is any other change to this agreement, and your account is in credit, we will refund the amount of such unused and unexpired credit within a reasonable time. In order to claim your refund you must contact us within 30 days of the date of the change. A service charge of £5 will be made for refunding credit.

General

38. You may not assign or delegate or otherwise deal with any of your rights or obligations under this agreement without our express written consent, such consent not to be unreasonably withheld. We shall have the right to assign or otherwise delegate all or any of its rights and obligations under this agreement to any other person

39. This agreement is governed by the laws of England & Wales and is subject to the jurisdiction of the English Courts.

40. If a court finds part of these Terms illegal, the rest will continue in force. Each of the paragraphs of these Terms operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.

41. Even if we delay in enforcing this agreement, we can still enforce it later. If we do not insist immediately that you do anything you are required to do under these Terms, or if we delay in taking steps against you in respect of your breaking this agreement, that will not mean that you do not have to do those things and it will not prevent us taking steps against you at a later date.

42. Nobody else has any rights under this agreement. This agreement is between you and us. No other person shall have any rights to enforce any of these Terms.
